Terms and Conditions for Haste (Lion Beach BV)

1. Agreement to Terms
1.1 By contracting Lion Beach BV for services including but not limited to animations, video, VFX, 2D and 3D, artwork, visuals, interactive apps, and VR (“Services”), clients (“You”) agree to abide by these Terms and Conditions. It is crucial for clients to read, understand, and agree to all terms and conditions before utilizing the services provided by Lion Beach BV.
2. Services
2.1 Lion Beach BV agrees to provide the Services as mutually agreed upon by both parties, ensuring the delivery of high-quality work in accordance with the specifications and requirements as agreed upon.
2.2 Any additional services or changes to the project scope will be subject to additional charges and may affect the project timeline.
3. Payment
3.1 A non-refundable deposit of 50% of the total service cost is required upfront to initiate the project. This deposit is an acknowledgment of the project scope, timeline, and other relevant details as agreed upon.
3.2 The remaining balance is due within two weeks post completion of the Services.
3.3 In the event that the established payment term is surpassed, Lion Beach BV reserves the right to assess a moratorium interest of 12.5%, as stipulated by Directive 2000/35/EC of the European Parliament.
4. Project Completion
4.1 Project completion dates provided by Lion Beach BV are estimates. While we strive to adhere to the agreed-upon schedule, Lion Beach BV shall not be liable for any delays in completion due to unforeseen circumstances beyond our control.
5. Intellectual Property
5.1 Upon the full settlement of the payment, clients retain the rights to the final project output for the agreed-upon intended use.
5.2 Lion Beach BV retains the right to use the final outputs or any working material for promotional purposes, unless explicitly agreed otherwise in writing.
5.3 Intellectual rights related to the project including, but not limited to, source files, working files, and intellectual assets, remain the exclusive property of Lion Beach BV. Under no circumstances will these intellectual rights and source files be turned over to the client or any third party unless a separate and explicit agreement is made and a new contract is established outlining the terms of such transfer.
5.4 Clients obtain the right to use the final output for the agreed-upon intended use after the full settlement of the payment. This right is non-transferable, and subject to the terms and conditions outlined in this agreement.
5.5 Lion Beach BV retains all intellectual rights, including the right to use the final outputs, working materials, and any related intellectual property for promotional purposes, portfolio inclusion, and other professional uses unless explicitly agreed otherwise in writing.
6. Cancellations
6.1 In the event of project cancellation after commencement, any payments made to Lion Beach BV for work completed or time spent are non-refundable.
6.2 Any cancellation must be communicated in writing.
7. Liability
7.1 Lion Beach BV shall not be held liable for any indirect, incidental, special, or consequential damages, including loss of profits or data, arising out of or related to the Services provided.
8. Governing Law
8.1 These Terms and Conditions, and any disputes arising from or relating to them, are governed by and construed in accordance with the laws of Belgium.
8.2 Any legal actions or proceedings related to our Services shall be brought exclusively in a court of law located in Antwerp, Belgium.
